Advice Note 5: Running a Charitable Company
Legal requirements and obligations for companies limited by guarantee.
This advice note is designed to provide a general guide on the administration requirements that charities and other not for profit organisations which are incorporated as companies limited by guarantee must adhere to. It also includes the latest provisions of the Companies Act 2006 which organisations may wish to avail of. In addition, it outlines the duties and potential liabilities of directors.
Please note that this guidance is not a definitive guide to the law. This advice note will help your committee / board to adhere to Principle 2 of the Code of Good Governance: The board’s responsibilities, legal requirements and obligations.
